Standard Terms & Conditions.
These terms & conditions shall apply to any contract with The-Safety-Guy (hereinafter referred to as ‘the Company’) unless other terms & conditions are expressly agreed in writing with the Company.
1. Quotations and orders.
a) No tender, estimate or quotation, written or verbal, given by the Company shall constitute an offer and no contract shall come into existence until the customer has placed an order with the Company, and the Company has acknowledged receipt of the order.
b) Any tender, estimate or quotation, written or verbal, given by the Company shall cease to be valid unless the order is placed and acknowledged within 1 calendar month of the date of the tender, estimate or quotation.
c) Once an order has been placed and acknowledged, should the customer vary the order in any way, the Company reserves the right to amend the tender, estimate or quotation, and in extreme circumstances, to terminate the contract. In the event of such termination, costs incurred by the Company shall pass to the customer.
2. Cancellation.
a) Once an order has been placed and acknowledged, should the order subsequently be cancelled for any reason whatsoever, the customer shall be liable for any costs incurred by the Company relating to the proper execution of the order, including loss of profits.
3. Delivery.
a) Any delivery date given by the Company shall be approximate and for information purposes only, and shall not be binding upon the Company. Whilst the Company will make every endeavour to adhere to quoted delivery dates, it will not be liable for any costs incurred which may arise due to failure to meet such delivery dates.
b) In the event that the customer is unable to take delivery of goods or completed work when requested to do so by the Company, for whatever reason, the Company reserves the right to make a charge for the storage of the goods or completed work for the period from the goods being ready for delivery/collection until actual delivery/ collection is effected. During any such period, liability for the insurance of the goods or completed work shall pass to the customer unless expressly agreed otherwise, in writing, by the Company. Failure to take delivery or arrange collection of goods or completed work, when requested to do so by the Company, shall not constitute adequate reason for non-payment of, or a delay in the payment of, the company’s invoice for the goods or completed work.
c) Free and reduced rate delivery service. These services are provided for acknowledged account customers and for customers who have a pre-arranged minimum spend level agreed with the Company. The free service applies to customers within a 20 mile radius of the Company's base. The reduced rate service applies to customers within a 20-40 mile radius of the Company's base.
d) The Company may, at its discretion, waive or adjust delivery charges.
e) The company reserves the right to either:
1) Supply partially complete orders and supply the balance of back-ordered goods subsequently; to o 2) Withhold supply of partially complete orders until such time as the order is complete.
4. Property and Risk.
a) Notwithstanding clause 3b) above, the risk in delivered work and goods shall pass to the customer on delivery. However, goods supplied by the Company shall remain the Company’s property until paid for in full by the customer. If any payment due to the Company is overdue, in whole or in part, the Company may (without prejudice to any other right it may have) recover or re-sell the goods or materials or any part thereof, and may enter upon the customer’s premises by its employees or agents for that purpose.
b) Immediately upon the commencement of any proceedings relating to the customer’s solvency, the Company may recover or re-sell the goods or materials supplied, or any part thereof, and may enter upon the customer’s premises by its employees or agents for that purpose.
5. Specifications, Measurements and dimensions.
a) The customer shall be responsible for advising the Company of any critical specifications including colours, sizes, measurements or dimensions as may be necessary for the Company to properly fulfil the customer’s order, such advice to be in good time, and if requested by the company in writing. Any research undertaken at the request of the customer by the Company in respect of specification requirements must be confirmed in writing by the customer, and shall be deemed by the Company to be extra work (see para. 1 c) above).
6. Payment.
a) Unless other terms are expressly agreed in writing by the Company, payment for any goods supplied or work completed shall be due to the Company by no later than the date due shown on the foot of the invoice, which shall be no more than 30 days from the date of issue of the invoice. If payment is not received by the due date, interest shall accrue on the outstanding balance at the rate of 4% over the Bank of England base rate pertaining at the time of expiry of the due date for payment.
b) Where, in a contract, the company provides labour, payment for any work completed shall be due to the Company by no later than the date due shown on the foot of the invoice, which shall be no more than 10 days from the date of issue of the invoice. If payment is not received by the due date, interest shall accrue on the outstanding balance at the rate of 4% over the Bank of England base rate pertaining at the time of expiry of the due date for payment.
c) When payment of any invoice of the Company becomes overdue, the Company reserves the right to withhold delivery of goods or completed work and/or suspend execution of work relating to this and any other contract current between the customer and the Company.
7. Liabilities.
a) The Company shall not be held liable for any defects or liabilities arising as a result of incorrect or inadequate information supplied by the customer, nor by any act of omission or negligence on the part of the customer or any third party.
b) In the event that any defect becomes apparent in any goods supplied or work completed by the Company, within a 12 month period following purchase, and which is attributable to faulty workmanship and/or materials supplied by the Company, the Company will repair or replace such defective goods or materials at its discretion at the earliest practicable date in the circumstances prevailing.
8. Insolvency.
a) If, in the opinion of the Company, the customer shall be unable, or is likely to become unable, to pay the amounts it owes to the Company, the Company shall (without prejudice to any other rights or remedies it may possess) be entitled to demand security prior to supplying any goods or carrying out any work, either in the form of pre-payment, or a bank guarantee of payment. If, notwithstanding any previous terms of payment agreed, the customer is unable to provide such security, the customer shall be deemed to have repudiated the contract, at which stage any costs incurred by the Company shall pass to the customer.
b) If the customer commits any breach of these Terms & Conditions or of the contract, or should the customer make any arrangements or offer to make any arrangements with creditors, or have a receiver, administrator or liquidator appointed, the Company shall (without prejudice to any other rights it may have) have the right to suspend or terminate any contract current between the Company and the customer, any costs arising from such suspension or termination passing to the customer.
9. Miscellaneous.
a) The Company shall have the right to enter into sub-contract agreement(s) with a third party for the proper execution of its obligations to the customer.
b) Where the word delivery is used this also includes collection.
c) These Terms & Conditions, and any contract resulting there from shall be construed in accordance with English law and be subject to the jurisdiction of the English Courts.
Badging & Corporate Identity, garment decoration.
We are in the process of setting up facilities to enable us to take care of all your badging and decoration requirements. We are currently negotiating with a supplier who can produce for us a full colour, industrial grade heat-transfer decal, or embroidered, heat-transfer patch with low set-up costs and low minimum order quantity. We will soon be able to offer a decoration service for everything from helmets to under garments.

Delivery.
Delivery.
We aim to despatch stocked goods within 24 hours* of order completion. Our primary means of delivery is via Royal Mail and DHL who aim to deliver within 48 hours* of receiving from us. We may elect to supply by different means at our discretion.
*not including weekends or public holidays,
Delivery charge 1.
Our delivery charge is payable on all orders up to £100.00 before VAT, free delivery on orders over £100.00.

Customers wishing to make trans-shipment arrangements must contact us before placing any order, click here to contact us
Collections 2.
Collections may be made, but must be arranged before placing any order. All collections must be within normal office hours (09:00 – 17:00). click here to contact us to arrange goods for collection.
1 Delivery charge, above, applies to UK mainland only. For all other areas different carriage costs will apply which are not stated here. Click here to contact us to discuss delivery outside UK mainland.
2 The delivery charge also includes an element of packaging and handling cost which may also appear on goods invoices for items either collected or arranged for trans-shipment.
Personal Protection Equipment advice.
Ever found that you are about to use a hand tool, but felt as though you were dressed as if you were about to take on a chainsaw from the wrong end! Or maybe you've started leafing through your usual suppliers catalogue and are bombarded with such a choice of different protection items, with no real explanation of what you need for a particular job, that you just don't know where to start. There is no real mystery about Personal Protection Equipment, but a little advice before purchasing can avoid spending money unnecessarily.

Returns.
Items for return.
Other than in accordance with your statutory rights:
Goods should be examined at the earliest opportunity possible, any items requiring to be returned must be notified to us within 3 days of receipt of goods. If for whatever reason goods are returned to us, they must be returned with their original packaging intact wherever possible and be in a condition fit for resale.
All costs incurred in returning goods to be borne by the customer.
We regret, printed or decorated goods will not be accepted for return.
